This Terms and Conditions Agreement (“Agreement”) sets forth the legally binding terms for your use of the angeri.com website and the services offered through it (“Website”).
BY ENTERING THE WEBSITE YOU AGREE TO FOLLOW AND BE BOUND BY THESE TERMS AND CONDITIONS AND THE PRIVACY POLICY WHICH ARE HEREBY INCORPORATED BY REFERENCE. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS AND CONDITIONS AND THE PRIVACY POLICY, YOU MAY NOT ACCESS OR USE THIS WEBSITE OR THE SERVICES OFFERED ON THE WEBSITE.
The terms "you," "your," and "yours" refer to the customer/purchaser utilizing angeri.com. The terms “Angeri”, “Angeri, Inc.’, "angeri.com”, "we", "us", and "our" refer to the angeri.com website. We reserve the right to change the nature of this relationship at any time and to revise this Agreement from time to time as we see fit. If you violate the terms of this Agreement you will have your access canceled and you may be permanently banned from using the Website and any interactive services. You should check these Terms and Conditions periodically.
Angeri.com provides an online listing service as a venue for those wishing to purchase and sell items to conduct transactions.
Amendments, Revisions and Updates
Angeri, Inc. reserves the right to revise these terms and conditions at
any time by posting revisions on the Website. Please check this page
regularly to ensure you are familiar with the current version. By using
the Website after we post changes to this Agreement, you agree to accept
those changes, whether or not you actually reviewed them. If you do not
agree to any modification, you must cease your use of the Website.
Listings
To list an item on
angeri.com, Angeri, Inc. charges nonrefundable listing fee for a
bridal gown and/or accessories. The fees are payable,
in U.S. dollars, upon your initial listing and are not refundable once
an item has been posted to
angeri.com regardless of whether you sell your item(s). Angeri, Inc.
makes no guarantee that your item(s) will sell.
We do not transfer legal ownership of items from the listing seller to the buyer, and nothing in this agreement shall modify the governing provisions of the Uniform Commercial Code under which legal ownership of an item is transferred upon physical delivery of the item to the buyer by the seller. Unless the buyer and the seller agree otherwise, the buyer will become the item's lawful owner upon physical receipt of the item from the seller.
Purchases
When making a purchase from a seller listing on
angeri.com you agree
that your sole intention is to purchase the item and that all the
information you have submitted to the buyer regarding your identity is
complete and fully accurate and that you have omitted no information
that might obstruct or falsify your true identity. You also understand
and agree that angeri.com
is providing a service only and has no control or responsibility between
the actual transaction between you and the listing seller. You agree
that Angeri.com has the right to restrict or deny your access to the
site or any part of it if any information or communication you have
provided or engaged in proves false, objectionable or illegal.
When making a purchase from a seller, you agree that all information you have submitted regarding your identity is complete and fully accurate and that you have omitted no information that might obstruct or falsify your true identity. You further understand and accept the sellers return policy. You agree that Angeri Inc. is not responsible for alterations, dry-cleaning, mending or pressing.
User Content
You are solely responsible for any and all text, photos, files, images,
videos, sound, e-mail, or other materials (“User Content”) (including
any User Content that you may have received by third parties) you give
us or post on or transmit through the Website and for your interactions
with other Website users. You grant us a non-exclusive, worldwide,
perpetual, irrevocable, royalty-free right and license, including right
to sublicense, to exercise the copyright, trademark, publicity, and
database rights you have in the User Content, in any media known now or
in the future. You are responsible for ensuring that your listings are
complete, accurate, and do not include misleading information. You
warrant and represent that your User Content does not violate the
privacy rights, publicity rights, copyright rights, intellectual
property rights or any other rights of any person or entity.
Prohibited Content
You agree that you will not post, submit, or otherwise provide to us,
any Prohibited Content. “Prohibited Content” includes Content that: (i)
is offensive or promotes racism, bigotry, hatred or physical harm of any
kind against any group or individual; (ii) bullies, harasses, or
advocates stalking, bullying, or harassment, of another person; (iii)
involves the transmission of “junk mail,” “chain letters,” unsolicited
mass mailing, or “spamming,”; (iv) is false or misleading or promotes,
endorses or furthers illegal activities or conduct that is abusive,
threatening, obscene, defamatory or libelous; (v) promotes, reproduces,
performs or distributes an illegal or unauthorized copy of another
person’s work that is protected by copyright or trade secret law, such
as providing pirated computer programs or links to them, providing
information to circumvent manufacturer-installed copy-protection
devices, or providing pirated music or video or links to pirated music
or video files; (vi) is involved in the exploitation of persons under
the age of 13 in a sexual or violent manner, or solicits personal
information from anyone under 13; (vii) provides instructional
information about illegal activities such as making or buying illegal
weapons, violating someone’s privacy, or providing or creating computer
viruses and other harmful code; (viii) solicits passwords or personally
identifying information for commercial or unlawful purposes from other
Website visitors or Account holders; (ix) except as expressly approved
by us, involves commercial activities and/or promotions such as
contests, sweepstakes, barter, advertising, or pyramid schemes; (x)
contains viruses, Trojan horses, worms, time bombs, cancelbots,
corrupted files, or similar software; (xi) violates any applicable law,
including, but not limited to export laws; or (xii) otherwise violates
this Agreement or creates liability for us.
Intellectual Property Rights
Angeri Inc. is not liable for any infringement of copyrights, trademarks
or other proprietary or intellectual property rights arising out of User
Content posted on or transmitted through the Website, or items
advertised on the Website. If you believe that your rights under
copyright laws are being violated by any User Content posted on or
transmitted through the Website, or items advertised on the Website,
please contact us promptly so that we may investigate the situation and,
if appropriate, block or remove the offending Content and/or
advertisements. It is our policy to disable access to infringing
materials, and to terminate access of repeat infringers to the Site.
Usage
While using angeri.com
you will not:
• violate any laws, third party rights, or
angeri.com policies;
• use angeri.com or
our services if you are not able to form legally binding contracts, are
under the age of 18, or are temporarily or indefinitely suspended from
the Website;
• fail to deliver payment for items you purchased, unless the Seller has
materially changed the item's description after you bid or you cannot
authenticate the Seller's identity;
• fail to deliver items purchased from you, unless the Buyer fails to
meet the posted terms, or you cannot authenticate the Buyer's identity;
• gather or otherwise collect information about users, including email
addresses, without their consent.
• You agree to use
angeri.com only for lawful purposes. You are prohibited from posting
on or transmitting through
angeri.com any material that encourages conduct that would
constitute a criminal offense, give rise to civil liability, or
otherwise violate any law. If we are notified of allegedly infringing,
defamatory, damaging, illegal, or offensive User Content provided by you
Angeri, Inc. may determine in its sole discretion whether to remove or
request the removal of such User Content from the Website. We may
disclose any User Content or electronic communication of any kind (a) to
satisfy any law, regulation, or government request; (b) if such
disclosure is necessary or appropriate to operate
angeri.com; or (c) to
protect the rights or property of Angeri, Inc.,
angeri.com, and its
users.
We reserve the right to prohibit conduct, communication, or User Content that we deem, in our sole discretion, to be unlawful or harmful to you, other users, Angeri, Inc., angeri.com or any rights of Angeri, Inc. or any third party. Notwithstanding the foregoing, neither Angeri, Inc. nor angeri.com can guarantee prompt removal of questionable Content after online posting. Accordingly, neither Angeri, Inc. nor any of its board, partners, officers, directors, employees, or agents assumes any liability for any action or inaction with respect to conduct, communication, or Content on Angeri.com.
Termination of Usage
We may terminate your access or suspend your right to access to all or
part of the Website, without notice, for any conduct that we, in our
sole discretion, believe is in violation of any applicable law or is
harmful to the interests of another user, Angeri, Inc., or any third
party. In addition, we reserve the right to refuse a purchase or listing
from any customer at our sole discretion.
Warranty Disclaimer
You expressly agree that your use of
angeri.com is entirely
at your own risk. Items purchased and sold through the Website are
provided on an “AS IS” or “AS AVAILABLE” basis. To the fullest extent
possible, Angeri, Inc. disclaims all warranties, express or implied,
including, but not limited to, implied warranties of merchantability and
fitness for a particular purpose, and non-infringement of proprietary
rights. Angeri Inc. does not represent or warrant that the functions
contained in the Website will be uninterrupted or error-free, that the
defects will be corrected, or that this Website or the server that makes
the Website available are free of viruses or other harmful components.
Angeri, Inc. disclaims any warranties, express or implied, regarding the
use of the materials in this Website in terms of their correctness,
accuracy, adequacy, usefulness, timeliness, reliability or otherwise.
Limitations of Liability
Under no circumstances shall Angeri, Inc. be liable for any direct,
indirect, incidental, special, or consequential damages that result from
the use of or inability to use the Site, including but not limited to
reliance by a user on any information obtained at the Site, or that
result from mistakes, omissions, interruptions, deletion of files or
e-mail, errors, defects, viruses, delays in operation or transmission,
or any failure of performance, whether or not resulting from acts of
God, communications failure, power interruptions, theft, acts of terror,
destruction or unauthorized access to Angeri, Inc. records, programs or
services. The foregoing limitation of liability shall apply whether in
an action of contract, negligence, or other tortious action, even if an
authorized representative of Angeri, Inc. has been advised of or should
have knowledge of the possibility of such damages. You hereby
acknowledge that this paragraph shall apply to all content, merchandise
and services available through the Site. Some states do not allow the
exclusion or limitation of liability for consequential or incidental
damages. In such states liability is limited to the fullest extent
permitted by law.
Notwithstanding the preceding paragraph, if we are found to be liable, our liability to you or to any third party is limited to the greater of (a) fifty U.S. Dollars ($29.99) or the amounts you paid to us in the six (6) months prior to the accrual of the claim.
Governing Law
By visiting the Website, you agree that the laws of the State of
Virginia, without regard to principles of conflict of laws, will govern
this Agreement and any dispute of any sort that might arise between you
and Angeri, Inc. or its affiliates and subsidiaries. You hereby agree
that venue and jurisdiction for all purposes shall be Alexandria, VA.
Disputes
In the event of a dispute relating in any way to your visit to or use of
the Website or to products you purchase through the Website that cannot
be resolved by negotiation, you and Angeri, Inc. agree to mandatory
mediation presided over by a qualified mediator upon which we mutually
agree prior to pursuing any other form of dispute resolution, including
litigation. Such mediation will be held in Alexandria VA. All cost of
the mediator and administration of mediation will be borne by the party
filing the dispute.
Release
You hereby release Angeri, Inc., its officers, employees, agents and
successors from claims, demands any and all losses, damages, rights,
claims, and actions of any kind including, without limitation, personal
injuries, death, and property damage, that is either directly or
indirectly related to or arises from any interactions with other Website
users.
If you are a California resident, you hereby waive California Civil Code Section 1542, which states: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor.”
Indemnification
You agree to indemnify, defend, and hold harmless Angeri, Inc, its
board, partners, officers, directors, employees, agents, licensors and
suppliers (collectively the "Service Providers") from and against all
losses, expenses, damages and costs, including reasonable attorneys'
fees, resulting from any violation of these Terms and Conditions or any
activity related to your account (including negligent or wrongful
conduct) by you or any other person accessing the Site using your
Internet account.
Electronic Communications
The communications between you and us use electronic means, whether you
visit the Website or send us e-mails, or whether we posts notices on the
Website or communicate with you via e-mail. For contractual purposes,
you (a) consent to receive communications from us in an electronic form;
and (b) agree that all terms and conditions, agreements, notices,
disclosures, and other communications that we provide to you
electronically satisfy any legal requirement that such communications
would satisfy if it were in writing.
Other
This Agreement is accepted upon your use of the Website or any of the
services we provide. This Agreement constitutes the entire agreement
between you and Angeri, Inc. regarding such use. If any provision of
this Agreement is found to be invalid or unenforceable, such provision
will be changed and interpreted to accomplish the objectives to the
greatest extent possible under any applicable law and the remaining
provisions will continue in full force and effect. The failure of Angeri,
Inc. to exercise or enforce any right or provision of this Agreement
shall not operate as a waiver of such right or provision. The section
titles in this Agreement are for convenience only and have no legal or
contractual effect. The parties of this Agreement have expressly
required that the present Agreement be drawn up in the English language.
